Agreement Overview

These Terms of Service (“Terms”) constitute a legal agreement between you and Ennovate IT, doing business as RYDEplatform (“we,” “us,” “our,” or “RYDEplatform”), governing your use of our transportation software platform and related services.

By accessing or using RYDEplatform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our services.

Who These Terms Apply To

These Terms apply differently depending on your relationship with RYDEplatform:

Business Customers: Transportation companies that license our platform

End Users/Passengers: Individuals booking transportation through our platform

Drivers: Individuals providing transportation services using our driver application

Website Visitors: Anyone accessing rydeplatform.com

1. Service Description

1.1 Platform Overview

RYDEplatform provides a comprehensive software-as-a-service (SaaS) platform for transportation companies, including:

  • Customer booking engines (web and mobile applications)
  • Driver dispatch and management applications
  • Real-time booking and fleet management systems
  • Payment processing integration
  • Customer relationship management tools
  • Reporting and analytics dashboards
  • Administrative back-office tools

1.2 Service Delivery

We provide our platform on a subscription basis to transportation companies. The actual transportation services are provided by our Business Customers, not by RYDEplatform.

RYDEplatform is a technology platform provider only. We do not provide transportation services, own vehicles, employ drivers, or act as a transportation carrier.

1.3 Service Availability

We strive to maintain 99.9% platform uptime, excluding scheduled maintenance. We will provide reasonable notice for scheduled downtime when possible.

2. Account Registration and Access

2.1 Business Customer Accounts

To access our platform as a transportation company, you must:

  • Provide accurate business information
  • Designate authorized administrators
  • Maintain valid payment information
  • Comply with all applicable transportation regulations
  • Hold appropriate business licenses and insurance

Account Creation: You may create an account using an email and password, or by authenticating through Google or Apple. By using third-party authentication services, you authorize us to access and use certain information from your account as described in our Privacy Policy.

2.2 End User Accounts

To book transportation through our platform, you must:

  • Be at least 18 years of age (or the age of majority in your jurisdiction)
  • Provide accurate personal and contact information
  • Maintain valid payment information
  • Comply with the transportation company’s terms and conditions

Account Creation: You may create an account using an email and password, or by authenticating through Google or Apple. By using third-party authentication services, you authorize us to access and use certain information from your account as described in our Privacy Policy.

2.3 Driver Accounts

To use our driver application, you must:

  • Be authorized by a Business Customer
  • Meet all legal requirements to operate a commercial passenger vehicle
  • Possess appropriate licenses and insurance
  • Pass any required background checks
  • Comply with the Business Customer’s driver policies

Account Creation: You may create an account using an email and password, or by authenticating through Google or Apple. By using third-party authentication services, you authorize us to access and use certain information from your account as described in our Privacy Policy.

2.4 Account Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Ensuring your account information remains accurate and current

We are not liable for losses caused by unauthorized use of your account.

3. Acceptable Use

3.1 Permitted Use

You may use RYDEplatform only for lawful purposes and in accordance with these Terms. You agree to use our platform in a professional and responsible manner.

3.2 Prohibited Activities

You may not:

  • Violate any laws, regulations, or third-party rights
  • Provide false, inaccurate, or misleading information
  • Impersonate another person or entity
  • Engage in fraudulent, abusive, or harassing behavior
  • Interfere with platform operations or security measures
  • Access data or systems without authorization
  • Reverse engineer, decompile, or disassemble our software
  • Use automated systems (bots, scrapers) without permission
  • Transmit viruses, malware, or harmful code
  • Circumvent payment obligations or fees
  • Resell or redistribute our platform without authorization
  • Use the platform to compete with RYDEplatform

3.3 Enforcement

We reserve the right to investigate violations and take appropriate action, including:

  • Warning users
  • Suspending or terminating accounts
  • Removing prohibited content
  • Reporting illegal activities to authorities
  • Taking legal action

4. Subscription and Payments (Business Customers)

4.1 Subscription Plans

Business Customers select a subscription plan that determines:

  • Monthly or annual billing
  • Number of vehicles/drivers supported
  • Feature access and limitations
  • Transaction volume allowances
  • Support tier and response times

4.2 Fees and Billing

Subscription Fees: Charged monthly or annually in advance based on your selected plan.

Transaction Fees: May apply to bookings processed through the platform, as specified in your subscription plan.

Setup Fees: One-time fees may apply for onboarding and configuration.

Additional Services: Custom development, training, or consulting services billed separately.

All fees are non-refundable unless otherwise specified.

4.3 Payment Terms

  • Payment is due upon invoice or on your recurring billing date
  • We accept credit cards, ACH transfers, and other approved payment methods
  • Failed payments may result in service suspension after 7 days
  • You are responsible for all taxes, except taxes based on our net income
  • Overdue balances accrue interest at 1.5% per month (or maximum legal rate)

4.4 Price Changes

We may change our pricing with 30 days’ notice. Existing customers on annual plans will not experience price increases until renewal.

4.5 Refunds

Subscription fees are non-refundable. If you cancel mid-billing cycle, you retain access until the end of the paid period.

5. Booking and Payment Terms (End Users)

5.1 Booking Process

When you book transportation through our platform:

  • You enter into an agreement with the transportation company, not RYDEplatform
  • You agree to pay the fare quoted at booking time
  • You authorize payment using your selected payment method
  • You receive a confirmation via email or SMS

5.2 Pricing and Fares

  • Fares are set by the transportation company
  • Quoted prices include applicable fees and taxes
  • Dynamic pricing may apply during high-demand periods
  • Additional charges may apply for wait time, tolls, parking, or special requests
  • Prices may vary based on vehicle type, distance, and service level

5.3 Payment Processing

  • Payment is processed at booking or upon trip completion
  • Pre-authorization may be placed on your payment method
  • You will receive a receipt after payment is processed
  • Disputes must be directed to the transportation company

5.4 Cancellations and Refunds

  • Cancellation policies are set by the transportation company
  • Cancellation fees may apply based on timing
  • Refunds for cancelled bookings are issued per the transportation company’s policy
  • No-shows may result in full charge

5.5 Gratuities

Tips or gratuities to drivers are optional and at your discretion. When added through the platform, 100% goes to the driver.

6. Transportation Services Terms

6.1 No Carrier Relationship

RYDEplatform does not provide transportation services. We are a technology platform connecting passengers with licensed transportation companies. All transportation services are provided by independent Business Customers.

6.2 Business Customer Responsibilities

Transportation companies using our platform are responsible for:

  • Maintaining appropriate business licenses and permits
  • Carrying adequate insurance coverage
  • Ensuring vehicles meet safety standards
  • Employing or contracting qualified drivers
  • Complying with all transportation regulations
  • Handling customer service and disputes
  • Fulfilling booked transportation services

6.3 Passenger Conduct

Passengers agree to:

  • Arrive at pickup locations on time
  • Treat drivers and vehicles with respect
  • Follow driver instructions and safety requirements
  • Pay all applicable fares and fees
  • Not damage vehicles or property
  • Not engage in illegal activities during transportation
  • Comply with vehicle capacity and baggage limitations

6.4 Service Quality and Safety

While we provide tools for quality monitoring, we do not guarantee:

  • Availability of transportation at any specific time
  • Quality or safety of services provided by transportation companies
  • Condition or cleanliness of vehicles
  • Driver behavior or customer service

Passengers should direct service quality concerns to the transportation company.

6.5 Special Requests and Accessibility

Special requests (child seats, accessibility accommodations, extra stops) should be made at booking. While we facilitate communication of these requests, we cannot guarantee fulfillment. Contact the transportation company directly for specific needs.

7. Driver Terms and Conditions

7.1 Driver Relationship

Drivers are engaged by Business Customers, not by RYDEplatform. Drivers are:

  • Independent contractors or employees of the Business Customer
  • Responsible for compliance with all transportation laws
  • Required to maintain appropriate licenses and insurance
  • Subject to the Business Customer’s policies and procedures

7.2 Driver Obligations

Drivers using our application agree to:

  • Provide safe and professional transportation services
  • Maintain vehicles in good working condition
  • Accept or decline trips in accordance with company policies
  • Enable location tracking during active trips
  • Complete trips as booked
  • Provide courteous and respectful service
  • Report accidents or incidents immediately
  • Comply with all traffic laws and regulations

7.3 Ratings and Feedback

Passengers may rate drivers and provide feedback. Consistently low ratings may result in driver deactivation by the Business Customer.

7.4 Earnings and Payments

Driver compensation is determined by the Business Customer. RYDEplatform facilitates payment processing but is not responsible for driver compensation disputes.

8. Intellectual Property

8.1 Our Intellectual Property

RYDEplatform and all related software, content, trademarks, logos, and materials are owned by Ennovate IT and protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable license to access and use our platform in accordance with these Terms.

You may not:

  • Copy, modify, or distribute our software or content
  • Create derivative works based on our platform
  • Remove or alter proprietary notices
  • Use our trademarks without written permission

8.2 Business Customer Data

Business Customers retain ownership of their data uploaded to our platform, including:

  • Customer databases
  • Booking records
  • Business information
  • Custom configurations

By using our platform, you grant us a license to use this data to provide and improve our services.

8.3 Feedback and Suggestions

If you provide feedback, suggestions, or ideas about our platform, we may use them without obligation or compensation to you.

9. Privacy and Data Protection

9.1 Privacy Policy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy at [link].

9.2 Data Processing

As a platform provider, we process data on behalf of Business Customers. We implement appropriate security measures to protect data but cannot guarantee absolute security.

We share data as described in our Privacy Policy and as necessary to provide our services, including:

  • Sharing booking information with transportation companies and drivers
  • Sharing data with payment processors
  • Providing analytics to Business Customers
  • Complying with legal obligations

9.4 Data Retention

We retain data as described in our Privacy Policy. Business Customers may export their data before terminating their account.

10. Third-Party Services and Links

Our platform integrates with third-party services including:

  • Payment processors (Stripe, PayPal)
  • Mapping and navigation services
  • SMS and email communication providers
  • Analytics services

We are not responsible for third-party services, their terms, privacy practices, or availability. You agree to comply with third-party terms when using integrated services.

External links on our platform are provided for convenience. We do not endorse or control third-party websites and are not responsible for their content.

11. Disclaimers and Limitations of Liability

11.1 Service “As Is”

OUR PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

  • Our platform will be uninterrupted, secure, or error-free
  • Results from using our platform will be accurate or reliable
  • Defects will be corrected
  • The platform is free from viruses or harmful components

11.2 No Transportation Warranty

WE DO NOT WARRANT OR GUARANTEE THE QUALITY, SAFETY, OR LEGALITY OF TRANSPORTATION SERVICES PROVIDED BY BUSINESS CUSTOMERS.

We are not responsible for:

  • Transportation company performance or reliability
  • Driver conduct or service quality
  • Vehicle safety or condition
  • Accidents, injuries, or property damage during transportation
  • Lost or damaged property

11.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RYDEPLATFORM AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES

LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES

PERSONAL INJURY OR PROPERTY DAMAGE

UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA

THIRD-PARTY CONDUCT OR CONTENT

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF OUR PLATFORM SHALL NOT EXCEED THE GREATER OF:

11.4 Exceptions

Some jurisdictions do not allow limitations on implied warranties or liability for incidental or consequential damages. In such jurisdictions, our liability is limited to the extent permitted by law.

11.5 Basis of the Bargain

You acknowledge that these limitations of liability are fundamental elements of the agreement between you and RYDEplatform. We would not provide the platform without these limitations.

12. Indemnification

12.1 Your Indemnification Obligations

You agree to indemnify, defend, and hold harmless RYDEplatform, Ennovate IT, and our affiliates, officers, directors, employees, agents, and partners from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising from:

  • Your use or misuse of our platform
  • Your violation of these Terms
  • Your violation of any laws or third-party rights
  • Your content or data uploaded to the platform
  • For Business Customers: Transportation services you provide, driver conduct, vehicle condition, or accidents
  • For Drivers: Your provision of transportation services or conduct
  • For Passengers: Your conduct during transportation or damage to vehicles

12.2 Defense and Settlement

We reserve the right to assume exclusive defense and control of any matter subject to indemnification, at your expense. You will cooperate with our defense and not settle any matter without our consent.

13. Insurance Requirements (Business Customers)

13.1 Required Coverage

Business Customers must maintain:

  • Commercial general liability insurance (minimum $1 million per occurrence)
  • Commercial auto insurance covering all vehicles (minimum $1 million combined single limit)
  • Workers’ compensation insurance (where required by law)
  • Professional liability insurance (if applicable)

13.2 Proof of Insurance

Business Customers must provide current certificates of insurance naming RYDEplatform as an additional insured. Insurance must be maintained throughout the subscription term.

13.3 Insurance Verification

We reserve the right to verify insurance coverage and suspend services if coverage lapses.

14. Term and Termination

14.1 Term

These Terms begin when you accept them and continue until terminated by either party.

14.2 Termination by Business Customers

You may terminate your subscription by:

  • Providing 30 days’ written notice
  • Cancelling through your account dashboard
  • Contacting customer support

Access continues through the end of your billing period. No refunds for unused time.

14.3 Termination by RYDEplatform

We may suspend or terminate your access immediately if:

  • You breach these Terms
  • Your payment fails or account is overdue
  • You engage in fraudulent or illegal activities
  • You pose a security risk to our platform
  • We discontinue services (with 30 days’ notice)
  • Required by law or legal process

14.4 Effect of Termination

Upon termination:

  • Your access to the platform is revoked
  • Outstanding fees become immediately due
  • You must cease using our intellectual property
  • Data export is available for 30 days (after which data may be deleted)
  • Provisions that should survive termination remain in effect

14.5 Survival

The following sections survive termination: Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Dispute Resolution, and General Provisions.

15. Dispute Resolution

15.1 Informal Resolution

Before filing any formal dispute, you agree to contact us at legal@rydeplatform.com and attempt to resolve the matter informally for at least 30 days.

15.2 Binding Arbitration

Any dispute arising from these Terms or your use of our platform shall be resolved through binding arbitration, not in court, except as described below.

Arbitration is conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration will be conducted by a single arbitrator.

By agreeing to arbitration, you waive your right to a jury trial and to participate in class actions.

15.3 Exceptions to Arbitration

Either party may bring a lawsuit in court for:

  • Injunctive or equitable relief to protect intellectual property rights
  • Small claims court actions (if within jurisdictional limits)

15.4 Arbitration Procedures

If the class action waiver is found unenforceable, the arbitration agreement does not apply to that dispute.

You may opt out of arbitration by sending written notice to legal@rydeplatform.com within 30 days of first accepting these Terms. If you opt out, disputes will be resolved in court.

16. Governing Law and Jurisdiction

16.1 Governing Law

These Terms are governed by the laws of the State of Washington, United States, without regard to conflict of law principles.

16.2 Jurisdiction

For disputes not subject to arbitration, you agree to the exclusive jurisdiction of state and federal courts located in [Your County], Washington.

16.3 International Use

Our platform is controlled from the United States. We make no representation that our platform is appropriate or available for use outside the United States. If you access our platform from outside the United States, you do so at your own risk and are responsible for compliance with local laws.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy and any subscription agreement, constitute the entire agreement between you and RYDEplatform regarding our platform and supersede all prior agreements.

17.2 Modifications

We may modify these Terms at any time by posting updated Terms on our website. Material changes will be communicated via email or platform notification.

Continued use of our platform after changes become effective constitutes acceptance of the modified Terms.

17.3 Waiver and Severability

Our failure to enforce any provision does not waive our right to enforce it later. If any provision is found unenforceable, the remaining provisions remain in effect, and the unenforceable provision is modified to the minimum extent necessary to make it enforceable.

17.4 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms to any affiliate or successor without restriction.

17.5 Force Majeure

We are not liable for delays or failures in performance caused by circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, or internet/telecommunications failures.

17.6 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights except as expressly stated.

If you are a U.S. government entity, our platform is a “Commercial Item” as defined in FAR 2.101, consisting of “Commercial Computer Software” and “Commercial Computer Software Documentation” as used in FAR 12.212 and DFARS 227.7202.

17.10 Relationship of Parties

Nothing in these Terms creates a partnership, joint venture, employment, agency, or franchise relationship between you and RYDEplatform.
